Kamwai Consulting is a Malawian consultancy firm specializing in:

3. Service Engagement and Contracts
3.1 Engagement Process
Consulting services are provided based on formal agreements between Kamwai Consulting and the client. Each engagement typically involves:

- Review, feedback, and final acceptance
3.2 Scope of Work
The specific scope, deliverables, timelines, and fees for each project will be outlined in a separate service agreement or contract. Any changes to the agreed scope must be mutually agreed upon in writing and may result in adjustments to timelines and fees.
3.3 Client Responsibilities
Clients are responsible for:
- Providing accurate, complete, and timely information necessary for project execution
- Designating a primary point of contact for communication
- Reviewing and approving deliverables within agreed timelines
- Making timely payments as per the agreed payment schedule
- Complying with all applicable laws and regulations
4. Fees and Payment Terms
4.1 Fee Structure
Consulting fees are determined based on the complexity, scope, and duration of each project. Fees may be structured as fixed-price, time-and-materials, or retainer-based arrangements, as specified in the service agreement.
4.2 Payment Terms
Payment terms will be outlined in the service agreement and may include:
- Upfront deposits or advance payments
- Milestone-based payments
- Final payment upon project completion
Invoices are typically due within 30 days of issuance unless otherwise agreed. Late payments may incur interest charges and may result in suspension of services.
4.3 Expenses
Reasonable out-of-pocket expenses (travel, accommodation, materials, etc.) incurred during project execution may be billed separately with prior client approval.
5. Intellectual Property Rights
5.1 Client-Owned Materials
All materials, data, and information provided by the client remain the property of the client. We treat client information with strict confidentiality.
5.2 Deliverables
Upon full payment, the client receives ownership rights to project-specific deliverables as outlined in the service agreement. This typically includes reports, analyses, datasets, visualizations, and other custom outputs created specifically for the client.
5.3 Kamwai Consulting Property
Kamwai Consulting retains ownership of:
- Proprietary methodologies, tools, frameworks, and processes
- Pre-existing intellectual property used in delivering services
- General knowledge and expertise developed through our work
5.4 Website Content
All content on the Kamwai Consulting website, including text, graphics, logos, images, and software, is the property of Kamwai Consulting and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
6. Confidentiality and Non-Disclosure
We are committed to maintaining the confidentiality of all client information. We will not disclose confidential information to third parties without client consent, except:
- When required by law or court order
- To service providers under confidentiality obligations who assist in project delivery
- When information becomes publicly available through no fault of ours
For sensitive projects, we are willing to enter into separate Non-Disclosure Agreements (NDAs) as requested by clients.
7. Warranties and Disclaimers
7.1 Professional Standards
We commit to providing services in a professional manner, consistent with industry standards and best practices. We will use reasonable skill and care in delivering our services.
7.2 No Guarantees
While we strive for excellence, we cannot guarantee specific outcomes or results from our consulting services. Project success depends on various factors, including client cooperation, data quality, external circumstances, and implementation decisions.
7.3 Website Disclaimer
Our website and its content are provided "as is" without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free from viruses or other harmful components.
8. Limitation of Liability
To the fullest extent permitted by law:
- Kamwai Consulting's total liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific project giving rise to the claim
- We shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost data
- We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control (force majeure)
This limitation of liability does not apply to liability that cannot be excluded or limited by applicable law.
9. Termination
9.1 Termination by Client
Clients may terminate a project engagement with written notice as specified in the service agreement. The client remains responsible for payment of fees for work completed up to the termination date, plus any non-cancellable commitments or expenses.
9.2 Termination by Kamwai Consulting
We may terminate an engagement if:
- The client fails to make timely payments
- The client breaches material terms of the agreement
- The client fails to provide necessary information or cooperation
- Continuation would violate ethical or legal standards
9.3 Effect of Termination
Upon termination, we will deliver all completed work and client materials. The client must pay all outstanding fees for work completed. Confidentiality obligations survive termination.
10. Dispute Resolution and Governing Law
10.1 Good Faith Resolution
In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiations.
10.2 Mediation
If negotiations fail, the parties may agree to submit the dispute to mediation before pursuing other remedies.
10.3 Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malawi. Any legal action or proceeding shall be brought exclusively in the courts of Malawi.
11. Indemnification
You agree to indemnify and hold harmless Kamwai Consulting, its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from: (a) your use of our services, (b) your violation of these Terms, (c) your violation of any third-party rights, or (d) any misrepresentation of information you provide to us.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our website or services after changes constitutes acceptance of the modified Terms. For active consulting engagements, the terms in effect at the time of contract signing shall govern unless mutually amended.
13. General Provisions
13.1 Entire Agreement
For consulting engagements, these Terms, together with the specific service agreement, constitute the entire agreement between the parties and supersede all prior understandings.
13.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
13.3 No Waiver
Our failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
